Starting January 1, 2024, in America, beneficial owners must be declared within 30 days of companies opening

The rule applies to LLCs and corporations open in any state in the United States. The data contained in the registry will not be public. And they will be used only in the case of criminal prosecutions.

In fact, with the Corporate Transparency Act, new legislation at the federal level on corporate transparency administered by the Department of Treasury's Financial Crimes Enforcement Network ("FinCEN") goes into effect. This is the first time the U.S. has adopted such legislation that transcends the jurisdiction of individual states in corporate matters.

We would like to point out that the holders' names will not be in the public domain: the legislation aims to strengthen the fight against money laundering, and the holders' names will be used only in the context of investigations into international organized crime.

U.S. companies with a date of incorporation before January 01, 2024, have one year to make the owners' declaration. The penalties for failure to declare are hefty, which, for the most serious cases, can escalate to criminal. We advise owners and partners of U.S. companies to make themselves active participants in fulfilling their obligations under the new U.S. corporate regulations. In order to proceed with the declaration of beneficial owners of U.S. companies, you need to create an online account in the special portal managed by FinCEN. Registration and access to the portal will only be possible from January 2024.
